NEWSFORCE'S TOTAL CUMULATIVE LIABILITY FOR ANY AND ALL CLAIMS IN CONNECTION WITH NEWSFORCE'S WEBSITE WILL NOT EXCEED TWENTY FIVE THOUSAND U.S. DOLLARS ($25,000.00). USER AGREES AND ACKNOWLEDGES THAT THE FOREGOING LIMITATIONS ON LIABILITY ARE AN ESSENTIAL BASIS OF THE BARGAIN AND THAT NEWSFORCE WOULD NOT PROVIDE NEWSFORCE'S WEBSITE ABSENT SUCH LIMITATION.

General. Newsforce is based in the United States. Newsforce makes no claims that the Content on the site is appropriate or may be downloaded outside of the United States. Access to the Content may not be legal by certain persons or in certain countries. If you access the site from outside the United States, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction. These Terms are governed in all respects by the laws of the State of California, excluding California's conflicts of laws provisions. The provisions of the UN Convention on Contracts for the International Sale of Goods will not apply to these Terms. Any action or proceeding arising out of or related to this Agreement or User's use of this site must be brought in the state or federal courts of the State of California, and User consents to the exclusive personal jurisdiction and venue of such courts. Any cause of action you may have with respect to your use of this site must be commenced within one (1) year after the claim or cause of action arises. These Terms set forth the entire understanding and agreement of the parties, and supersedes any and all oral or written agreements or understandings between the parties, as to their subject matter. The waiver of a breach of any provision of this Agreement shall not be construed as a waiver of any other or subsequent breach.

Limitations on Scope of Use

Use of the Service is limited to the optimization, distribution and tracking of news releases via Newsforce and registration for and use of offered products and services.
You agree not to use the Service for any other purposes, including, without limitation, to store, aggregate, reproduce or distribute information available on the Service in any manner or to compete directly or indirectly with Newsforce; to interfere with or disrupt the operation of the Service or the networks or servers connected to the Service in any manner; to impersonate any person or entity or otherwise misrepresent your affiliation with any person or entity; to upload, post or otherwise transmit any content that infringes the proprietary rights of any third party, or is otherwise unlawful or offensive; to harass or otherwise harm Newsforce or any other person or entity; to gain benefits from the use of the Service without making payment for services rendered; or to engage in commercial activities of any kind without prior consent of Newsforce.
Any unauthorized use of the Service may result in termination of all rights to use the Service and penalties to the full extent provided by law.

User Information

For purposes of identification and billing, you agree to provide Newsforce with accurate, complete, and updated information required by the registration to the Service (Registration Data), including your legal name, address, telephone number(s), and applicable payment data (e.g., credit card number and expiration date). Payments

You are responsible for all activities and charges resulting from use of the Service.
In the event of a breach of security, you will remain liable for any unauthorized use of your account with the Service until you notify Newsforce by email at info@newsforce.com.
(d) Newsforce reserves the right to increase fees, surcharges, monthly membership fees or to institute new fees at any time upon thirty (30) days prior notice. Newsforce may reduce these fees at any time without notice to you. In the event that your account is terminated or canceled, payments credited to your account are non-refundable.
If Newsforce does not receive the full amount of your Service account balance within thirty (30) days of the invoice date or billing date, the lesser of an additional 1% or the highest percentage allowed by law, of the outstanding balance will be added to your bill as a late charge each billing cycle and shall be due and payable. You shall also be liable for all attorney and collection fees arising from Newsforce efforts to collect any unpaid balance of your account(s).

Warranty & Indemnification

You represent and warrant to Newsforce that you will not transmit by means of the Service any materials of any kind which (i) violate, plagiarize, or infringe on the intellectual property or contractual rights of any third party; (ii) are exported in violation of any law, rule, or regulation governing exports from the United States; (iii) contain libelous, defamatory, obscene, pornographic, abusive or otherwise unlawful material; (iv) contain software viruses or any other malicious code designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.
You further represent and warrant to Newsforce that your use of the Service will at all times comply with all applicable laws, rules, and regulations. You hereby agree to indemnify, defend and hold harmless Newsforce and its employees, licensors, independent contractors, providers, subsidiaries and affiliates (collectively, the "Affiliates"), from and against any and all liability and costs incurred by the Affiliates in connection with any claim arising out of any breach by you of the foregoing representations, warranties and covenants, including, without limitation, attorneys' fees and costs.
You shall cooperate as fully as reasonably required in .the defense of any claim. Newsforce reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you and you shall not in any event settle any matter without the written consent of Newsforce.
You agree not to use the account of another person or business entity without permission.

Disclaimer of Warranties

You agree that use of the Service is entirely at your own risk. EXCEPT AS SPECIFICALLY PROVIDED IN THIS AGREEMENT, THE SERVICE AND THE MATERIALS ON THE SERVICE ARE PROVIDED AS IS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Newsforce does not make any representations or warranties that the Service or materials on the Service or products and services purchased at or through the Service will meet your requirements or expectations, or that the operation of the Service will be uninterrupted, timely, secure or error-free. Some jurisdictions do not allow the exclusion of certain warranties, so some or all of the above exclusions may not apply to you.

Limitation of Liability

You agree that Newsforce will not be held liable for any improper or incorrect use of the Service or the materials on the Service and assumes no responsibility for any user's activities on the Service or for the inaccuracy of any content on the Service. Rights Reserved/Change in Terms

Newsforce reserves the right to make changes to these terms and conditions at any time and for any reason by posting a notice on the Service home page. All such changes will become effective 10 days after posting of such notice. Your continued use of the Service after the date such changes become effective will constitute your acceptance of the changes and your agreement to be legally bound by any modifications or amendments to these terms and conditions.

Termination

Newsforce may terminate your access to any part or all of the Service and any related service(s) at any time, with or without cause, with or without notice, effective immediately, for any reason whatsoever.
Newsforce may also terminate your account for inactivity, which is defined as failing to use the Service in a manner that results in an initial billing event, as determined by Newsforce. The amount of time that Newsforce currently views as an "extended" period of time is 90 days from account creation. Upon termination of the Service, your right to use the Service immediately ceases.
If you wish to terminate your account, your only recourse is to discontinue the use of the Service.
Upon termination, Newsforce shall have no obligation to maintain any content in your account or to distribute any press releases which you have entered using the Service.

Modifications to Terms of Service

Newsforce reserves the right to change the Terms of Service or policies regarding the use of the Service at any time and to notify you by posting an updated version of the Terms of Service on this Web site. You are responsible for regularly reviewing the Terms of Service. Continued use of the Service after any such changes shall constitute your consent to such changes.
Your only right with respect to any dissatisfaction with any modifications made pursuant to this provision, or any policies or practices of Newsforce in providing the Service, including, without limitation, (i) any change in the content of the Service, or (ii) any change in the amount or type of Service fees, is to terminate your account by delivering notice to Newsforce. This agreement is governed by the laws of the State of California. Use of the Service is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph.
You agree that no joint venture, partnership, employment, or agency relationship exists between you and Newsforce as a result of this agreement or use of the Service. Newsforce performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of Newsforce right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Service or information provided to or gathered by Newsforce with respect to such use.
If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.
Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and Newsforce with respect to the Service and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and Newsforce with respect to the Service.
A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
You and Newsforce agree that any cause of action arising out of or related to this Service must commence within one (1) year after the cause of action arose; otherwise, such cause of action is permanently barred. The section titles in the Terms of Service are solely used for the convenience of the parties and have no legal or contractual significance.
